Terms of Service for Chunkify. Review account terms, billing, data retention, acceptable use, and liability limits.

Full Terms of Service

1. Definitions

Chunkify, we, us, our: SARL Particles, 148 rue Breteuil, 13006 Marseille, France.
Service: The Chunkify cloud-based video transcoding platform, including the API, CLI, dashboard, SDKs, documentation, and related services.
Customer, you, your: The individual or legal entity using the Service.
Content: Any data, files, videos, or materials you upload or process.
Output: Any results generated by the Service from your Content.
Compute Time: vCPU-minutes consumed by transcoding jobs.
Team: A workspace grouping projects, members, subscription, and compute quotas.
Project: An isolated environment under a team with its own API keys and resources.

2. Eligibility

You must be 18 years old or older to use the Service.
By creating an account, you confirm that you have the legal capacity to enter into these Terms.
Organizations must ensure their representatives have authority to bind the organization.

3. Account Creation

Privacy Policy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, process, and protect personal data. By using Chunkify, you agree to the terms of the Privacy Policy.

Account Creation

To create an account, you must provide all of the following mandatory information:

  • Name
  • Email
  • Job title
  • Company website
  • Company size
  • Country
  • Goal
  • Industry
  • Referral source
  • Transcoding provider
  • Estimated usage
  • Video-transcoding knowledge level

You are responsible for maintaining accurate information and securing your authentication credentials.

4. Teams, Roles & API Keys

Team Membership

A user may belong to multiple teams.
Each team manages its own subscription, members, projects, and API keys.

Roles

  • Admin: Full administrative access, including billing, subscription, team members, compute budgets, projects.
  • Developer: Dashboard and API access to jobs, sources, webhooks, logs, and project-level actions.

API Keys

You must:

  • Keep all API keys confidential
  • Not share them publicly
  • Notify Chunkify immediately if a key is compromised

Chunkify may revoke or regenerate keys to maintain security.

5. Subscriptions, Billing & Payments

Team-Based Subscription Model

Each team maintains a single subscription that defines:

  • Compute quotas
  • vCPU concurrency
  • Maximum file size
  • Features and project limits
  • Data retention
  • Team member limits
  • Allowed transcoder types

Billing Currency

All subscription fees, compute usage charges, and additional purchases are billed exclusively in USD (United States Dollars).

Compute Time & Compute Credits

Chunkify uses a compute-credit model to measure the total compute effort consumed by your transcoding jobs.

Compute Time represents the aggregated processing time of all transcoders involved in a job, including their vCPU multipliers.
Minimum billing is 30 seconds per transcoder, rounded up.

Each transcoder type has a minute multiplier relative to the baseline 4-vCPU configuration:

Compute credits are accounting units only—they measure and deduct Compute Time.
They are not a currency and cannot be purchased directly.

When you purchase additional compute capacity, payment is made in USD, and the corresponding compute credits are added to your team based on the pricing rates above.

This ensures billing reflects the true distributed compute effort used by your jobs, not just total wall-clock duration.

Auto-Renewal

All subscriptions auto-renew at the end of each billing cycle unless canceled.

Upgrades & Downgrades

  • Upgrades take effect immediately and are prorated where applicable.
  • Downgrades take effect at the next billing cycle.

Your team must meet the limits of the downgraded plan when it becomes active; otherwise, the team will be paused.

Cancellation

You may cancel at any time.
Access remains active until the end of the current billing cycle, after which the team is paused.
Unused compute credits are non-refundable.

Egress Fees

  • AWS S3: free
  • Cloudflare R2: $0.09/GB

6. Data Retention & File Handling

Chunkify retains customer video assets only for the minimum duration necessary to process jobs and ensure platform reliability.

Uploaded Video Content

Chunkify stores uploaded video data strictly for operational purposes.

We store:

  • Source files (input videos)
  • Chunked input fragments generated during ingest
  • Generated output files (only when using Chunkify Storage)
  • Operational logs and metrics

Input Files (Source & Chunks)

  • Stored for 24 hours in all upload cases
    (direct upload or remote URL ingest).
  • Automatically deleted after 24 hours.

Output Files

  • When using your own storage (AWS S3, Cloudflare R2, etc.):

    • Output files are delivered directly to your target bucket.
    • Chunkify does not retain any output files.
    • Retention: 0 hours.

  • When using Chunkify Storage:

    • Output files are stored for 24 hours.
    • Automatically deleted after 24 hours.
    • Intended primarily for testing and short-term workflows.

Logs & Metrics

Operational logs, job metadata, and usage metrics may be retained longer to ensure system reliability, operational debugging, and accurate billing.

Retention Periods by Plan

After the applicable retention period expires:

  • Output files (if applicable) and retained logs are permanently deleted.
  • Technical metadata (compute usage, duration, formats, costs, timestamps) is kept indefinitely for reporting and historical analysis.

Max File Size

Each plan defines a maximum input size. Exceeding it results in immediate job failure.

Max Execution Time

Jobs exceeding the plan's maximum execution time are automatically aborted.

Backups

Chunkify is not a backup service. Users must download and store Output they wish to keep.

Third-Party Storage Providers

If using external storage (AWS S3, Cloudflare R2), their terms apply.

Chunkify does not guarantee long-term storage of any Content or Output.

7. Acceptable Use

Forbidden Content

You may not upload or process:

  • Copyrighted content without proper rights
  • Violent, hateful, extremist, or illegal content

Allowed Content

  • Adult content is allowed if lawful and compliant in your jurisdiction.

Special or Sensitive Content

If your Content may fall under sensitive or regulated categories, you must contact us first at

Violations

Chunkify may suspend or terminate access for violations.

Technical Misuse

You may not engage in any technical misuse of the Service, including but not limited to:

  • Exceeding documented or implicit API rate limits
  • Attempting to circumvent billing, compute quotas, or plan restrictions
  • Generating abusive traffic patterns, such as DDoS-like workloads
  • Performing penetration testing, security scanning, or reverse engineering without prior written authorization
  • Automating requests or scraping the API in a manner that degrades performance or violates rate limits
  • Attempting to access or modify systems, accounts, or data that do not belong to you

Chunkify may suspend or restrict access to protect platform stability, security, or compliance.

8. Suspension & Termination by Chunkify

Chunkify may suspend or terminate access to the Service, in whole or in part, under the following circumstances:

  • Non-payment or repeated payment failures
  • Violations of these Terms, including Acceptable Use and Technical Misuse
  • Security risks, including compromised API keys, suspicious activity, or threats to platform integrity
  • Excessive strain on the platform, including workloads that materially impact system performance
  • Legal obligations requiring immediate action, such as court orders or compliance enforcement
  • Misuse of API/CLI, misconfiguration, or activities that cause recurring instability

Where reasonable, Chunkify will provide prior notice before suspension or termination.
However, immediate action may be taken when necessary to protect platform security, integrity, or compliance.

Suspension or termination does not relieve you of outstanding payment obligations.
Content and Output are retained or deleted according to the retention rules described in these Terms.

9. Intellectual Property & Ownership

Chunkify Technology

SARL Particles owns all rights to:

  • Platform and distributed transcoding engine
  • API, CLI, dashboard, SDKs
  • Documentation, UI, website
  • Infrastructure, algorithms, and improvements

No rights are transferred except a limited license to use the Service.

User Content

You retain full ownership of your Content and Output.
Chunkify only receives rights necessary to process, store, and deliver your jobs.

Feedback

All feedback may be used freely by Chunkify without obligation.

10. Service Availability, Modifications & Beta Features

Availability

Unless covered by an SLA, the Service is provided on a best-effort basis.

SLA

SLA is available only for:

  • Pro plan
  • Enterprise plan

SLA terms override conflicting availability terms in this document.

Modifications

Chunkify may modify or discontinue features with reasonable notice for material changes.

Maintenance

Scheduled and emergency maintenance may occur.

Beta Features

Provided “as is” and not covered by SLA.

11. Warranty Disclaimer

Except where covered by SLA, Chunkify provides the Service as is, without warranties of any kind.
You are responsible for verifying Output before production use.

12. Limitation of Liability

Plans currently include Hobby, Starter, Pro, Enterprise (as described on the Pricing page).

Fixed Liability Caps

  • Hobby: USD $100
  • Starter: USD $200
  • Pro: USD $500
  • Enterprise: USD $1,000

Caps apply to all failures not caused by the customer:

  • job failures
  • bugs or defects
  • data loss
  • output corruption
  • API/CLI malfunctions
  • internal infrastructure errors

Upstream Infrastructure Failures

Chunkify is not liable for outages caused by:

  • AWS
  • Cloudflare
  • Global internet disruptions
  • DNS failures
  • Similar upstream events

Higher Liability for Pro & Enterprise (Case-by-Case)

Pro and Enterprise customers may request higher liability coverage case-by-case.

Excluded Damages

Chunkify is not liable for:

  • indirect or consequential damages
  • business interruption
  • loss of profits
  • loss of data beyond retention

13. Indemnification

You agree to indemnify SARL Particles against claims arising from:

  • your Content or Output
  • your use or misuse of the Service
  • your violation of these Terms
  • infringement of third-party rights

14. Governing Law & Dispute Resolution

Governing Law

These Terms are governed exclusively by French law.

Jurisdiction

All disputes fall under the exclusive jurisdiction of the courts of Marseille, France.

Pre-Litigation Negotiation

Parties must attempt to resolve disputes in good faith for 30 days before litigation.

No Class Actions

Claims must be brought individually.

15. Changes to These Terms

Chunkify may update these Terms.
For material changes, users are notified via dashboard notification only.

Continued use after effectiveness constitutes acceptance.

16. Miscellaneous

Entire Agreement

These Terms plus referenced policies constitute the full agreement.

Severability

Invalid provisions do not affect the remainder.

Waiver

No provision is waived unless in writing.

Assignment

You may not assign your rights without written consent.

Independent Contractors

No partnership, agency, or employment relationship is created.

Headings

Headings have no legal effect.

Force Majeure

Chunkify is not liable for events beyond reasonable control, including major cloud-provider outages.
